Hock Tan, President and CEO of Broadcom, issued a document today announcing the successful acquisition of VMware for US$69 billion.China approved the acquisition earlier on Tuesday, with restrictive conditions, in one of the largest technology sector acquisitions closely watched by global regulators. Investors in some companies had worried about the outcome after reports last month that growing tensions between China and the United States could lead Chinese regulators to cancel the deal.

Today, we are very happy to announce that Broadcom has successfully acquired VMware, and all employees of the company will usher in an exciting new era. The addition of VMware to our engineering-first, innovation-focused team is another important step in building the world's leading infrastructure technology company.

This is an important moment for Broadcom and an exciting milestone for our customers around the world. As I said when we originally announced the acquisition, together we can now help global enterprises deploy their "apply anywhere" strategy by enabling private and hybrid cloud environments to help them solve their complex IT infrastructure challenges at scale. Our goal is to help customers optimize their private, hybrid and multi-cloud environments so they can run applications and services anywhere.

As we begin this journey together, here's what you - our customers, partners and communities - should know.

our commitment

Broadcom is committed to innovation. It's in our DNA and why we plan to invest heavily every year to drive VMware innovation and customer value. Half of the investment will focus on research and development, and the other half will help accelerate the deployment of the solution through professional services from VMware and partners. We are committed to creating value and increasing revenue for our strong partner ecosystem, and the addition of VMware partners makes our ecosystem even stronger.

Broadcom builds technology that's built to last. We plan to continue investing in our industry-leading products. As the deal closes, here are some highlights for the future:

VMware cloud infrastructure

Broadcom's future focus will be on helping enterprise customers create and modernize private and hybrid cloud environments. At its core, Broadcom will invest in VMware Cloud Foundation, the software stack that is the foundation for private and hybrid clouds. VMware Cloud Foundation aligns with Broadcom's vision to help customers transform typical heterogeneous enterprise IT infrastructure into virtualized and containerized environments, enabling private and hybrid clouds. The goal of the platform is to free IT resources from infrastructure integration and management tasks. This will enable them to deliver IT services that help achieve business goals, minimize security risks, reduce time to market, and generate additional revenue from new business services.

Complementing Broadcom's investment in VMware Cloud Foundation, VMware will provide a rich catalog of services based on VMware Cloud Foundation to modernize and optimize cloud environments, including the following services:

App networking and security

Protecting workloads from evolving cyber threats is a top concern for customers. It’s no longer about protecting the perimeter, as threat actors are moving laterally and exploiting internal systems to gain control. Customers need multiple layers of defense to protect against lateral attacks - from unauthorized access to malware and ransomware. VMware's distributed security coupled with comprehensive visibility enables customers to enforce defense-in-depth and zero-trust security strategies. The focus is on providing horizontal protection that is simpler and more agile to implement within VMware virtualization infrastructure. Leverage emerging artificial intelligence/GenAI technologies to combat the ever-changing threat environment.

In addition, application workloads can be deployed through load balancers. In the digital age, applications need to be highly available and scale automatically as load increases. Flexibility, automatic scaling, and built-in application visibility are key requirements for modern load balancer solutions.

modern applications

We're excited about VMware's technology and how customers can benefit from it. Modern apps are a good example.

Modern applications and private and hybrid clouds are at the heart of digital transformation. VMware research shows that more than 70% of CIOs are developing new modern and cloud-native applications. Additionally, modern applications designed for any cloud model are now outpacing traditional applications in the enterprise. Business leaders clearly understand that software agility and speed to market are critical to a company's ability to successfully compete and grow revenue. As a result, enterprises are prioritizing application strategies based on technologies such as artificial intelligence, machine learning, Kubernetes, open source solutions, and private and hybrid cloud ecosystems to gain a competitive advantage. However, delivering applications at scale can be a daunting task and is becoming increasingly complex.

With VMware Tanzu, our goal is to increase customers' business agility by accelerating application development, delivery and management on any cloud - on VMware Cloud Foundation and all major hyperscalers. Specifically optimized for application development frameworks such as Spring, the leading enterprise-grade Java application framework, Tanzu significantly improves developer productivity while enabling platform teams to enforce application standards, maintain security and compliance, and track application performance. We are application-centric and leverage a common data and control model to enable VMware Tanzu to both increase software agility and provide a more streamlined experience for platform and cloud operations teams. Tanzu is an important part of VMware's software portfolio, and our investment in it will enable customers to continue running some of the world's most mission-critical applications by creating virtualized and containerized environments. No matter where our customers' applications live, we'll support them so they can run anywhere.

At Broadcom, we're committed to helping our customers simplify their IT environments. To achieve this goal, we will grow our existing service suite while combining and investing in VMware's assets to provide greater value to customers.

Software innovation from data center to edge

Customers have always been interested in the technology that supports software. This is again at the forefront of their minds as they consider their need for flexibility within their data centers and what types of workloads they want to run in different cloud environments. Private and hybrid clouds are growing at an ever-increasing pace as platform-based modular technology enables flexibility. This is true for the data center, and it is true for the software-defined edge. Given the complex IT environment within a government agency, the agency invested $9 billion in private and hybrid cloud infrastructure to strengthen its digital management and defense capabilities and increase its agility. These trends suggest that software-enabled innovation will help enterprises deliver better results for a variety of workloads, from the data center to the edge.

Looking to the future

Broadcom has a long history of investing in the businesses we acquire to drive sustainable growth and customer value.

I look forward to what we will accomplish together as a combined company to deliver best-in-class solutions to our customers, partners and the industry.
