On October 27, local time, according to the Dutch media Het Financieele Dagblad, Wingtech Technology, the parent company of Nexperia, issued an official statement to it,Accused the Dutch government of forcibly taking over Nexperia and demanded that the Dutch government return control of Nexperia.

Wingtech said: “Only in this way can the Netherlands begin to repair its damaged reputation, ease international tensions, and maintain its own and European economic security.”

At the end of September this year, Dutch Minister of Economic Affairs Vincent Karremans forcibly took over control of Nexperia, a wholly-owned subsidiary of Wingtech Technology, in accordance with the Goods Availability Act.

The bill allows the Dutch Ministry of Economic Affairs to block or overturn decisions of Dutch companies in exceptional circumstances. Karemans said at the time that the move was taken to ensure the supply of chips to the Dutch and European industries.

At the same time, several foreign directors of Nexperia also initiated litigation proceedings at the Enterprise Chamber in Amsterdam, the Netherlands.Within hours of the Chamber of Commerce's arrival, the court directly took immediate effect on several emergency measures without hearing the case or hearing the opinions of the respondent. It suspended Chinese CEO Zhang Xuezheng from his duties and placed Nexperia's equity interests under the management of an independent Dutch trustee.

In a subsequent response, Karemans denied having any knowledge of the court proceedings. "The company itself initiated the investigative process without my intervention... This process has nothing to do with my order," he said in a briefing to the Dutch parliament.

On October 4, the Ministry of Commerce of China implemented export controls on Nexperia, and the export of related products was prohibited. The products produced by Nexperia's packaging and testing factories in China account for 70% of its global packaging and testing products.

This also means that currently only 30% of Nexperia's production capacity can be supplied to markets outside China, and the rest are in China.

Subsequently, Nexperia China Co., Ltd. (hereinafter referred to as "China Nexperia" or "Nexperia China") quickly launched self-rescue, including refusing to accept the unilateral instructions of Nexperia of the Netherlands, stepping up efforts to connect the domestic supply chain, and ensuring the supply of domestic customers.

According to people familiar with the matter, China Anshi has resumed supply to the domestic market on October 23, but all transactions need to be settled in RMB, while previously they were settled in US dollars.

Yang Mu, chairman of Wingtech Technology, also said in the recent third quarter financial report conference call: "In line with the principle of ensuring stable business operations and customer supply, Nexperia is actively communicating one-on-one with customers (including some overseas direct supply customers) and cooperating with customers to open up supply channels for domestic delivery." Nexperia will do its best to meet customer supply needs, avoid customer disconnections, and at the same time ensure product quality requirements. "

Nexperia of the Netherlands hopes to try its best to distance itself from the matter and "pressure from the United States", emphasizing that it forcibly took over control of Nexperia from Wingtech Technology because of "corporate governance issues."

Previously, the Dutch media NRC cited so-called court documents and unilaterally alleged that the Dutch government took over Nexperia because Zhang Xuezheng illegally used Nexperia to place orders beyond demand to the Shanghai-based automotive-grade wafer factory Dingtai controlled by Nexperia to transfuse Dingtai.

Recently, the NRC has changed its statement:Zhang Xuezheng is accused of misappropriating chip production technology from the Nexperia Semiconductor factory in Manchester, England (the factory mainly produces "MOSFETs", which are already relatively common technologies and products in China) and sharing trade secrets with Dingtai.

It is also alleged that Zhang Xuezheng threatened to fire 40% of European employees and wanted to close Nexperia's research center in Munich. The plan has been shared with local works councils, the NRC said.

However, the above statement is only a unilateral accusation made by the Netherlands. Not only does it not disclose conclusive evidence, there is also no response from Zhang Xuezheng.

In this regard, Wingtech Technology pointed out in its latest statement that Nexperia invested US$200 million to expand its factory in Hamburg last year, saying that this proved the company's long-term commitment to Europe. Wingtech said: “This fact directly contradicts the Dutch side’s statement.”

The previous statement issued by Wingtech Technology in the country also showed that,After acquiring Nexperia, Wingtech has set up R&D and manufacturing centers in the Netherlands, Germany, the United Kingdom and other places, employing thousands of employees. In the past three years, R&D investment has increased by more than 150%, and the number of global patents has increased by nearly 1,000. In the past five years, Nexperia has contributed 130 million euros in corporate income tax to the Netherlands, making a huge contribution to the local economy; it provides irreplaceable mature process chips for key industries such as automobiles, industry, and energy.

In a statement to the Dutch Financial Daily, Wingtech accused the Dutch government of political interference in corporate governance and called on the Dutch government to "stop interfering in judicial proceedings" and return control of Nexperia.
