On the evening of December 9, Sugon and Haiguang Information issued announcements at the same time, announcing the termination of major asset restructuring, and stated that the termination of this transaction will not have a significant adverse impact on the company's production, operations and financial status, and will not harm the interests of the company and small and medium-sized shareholders.

The announcement stated that since the launch of this transaction, the company and relevant parties have actively promoted various tasks for this transaction. Due to the large scale of this transaction and the large number of relevant parties involved, the demonstration of the major asset restructuring plan took a long time. The current market environment has changed significantly compared with the initial planning of this transaction. The conditions for the implementation of major asset restructuring are not yet mature. In order to effectively safeguard the long-term interests of the listed company and the majority of investors, after friendly consultations, careful research and full demonstration between the company and all parties involved in the transaction, the company decided to terminate this transaction based on prudent considerations.

The announcement also emphasized that the current production and operation conditions of Sugon and Haiguang Information are normal. This termination will not affect the subsequent continued cooperation between the two parties. Sugon will establish a closer cooperative relationship with Haiguang Information in system-level product applications.

Industry insiders pointed out that the two parties have formed a "division of labor and complementary" pattern in the computing ecosystem, which meets the needs of my country's artificial intelligence industry for diversified computing power supply and professional computing services. The termination of the merger will not affect the formation of a collaborative pattern of multi-subjects in the upstream and downstream of the industrial chain, nor will it reduce the risk resistance of the domestic computing power system.
