[Melwell and Lumentum have agreed on huge transaction termination fees. Under certain circumstances, the two parties will pay up to US$5.8 billion and US$2.9 billion respectively] According to the merger agreement between the two parties, under certain circumstances, if the transaction is terminated, Marvell must pay Lumentum a termination fee of up to US$5.8 billion; of which, in some cases, the termination fee is US$3.2 billion. If Lumentum terminates the transaction under certain circumstances, it will pay a termination fee of US$2.9 billion to Marvell. The above fees are only triggered under specific termination conditions stipulated in the agreement.
