[R&F Real Estate’s revised consent solicitation for three overseas bonds was approved by holders] On November 6, reporters learned that on November 4, EASY TACTIC LIMITED, a subsidiary of Guangzhou R&F Real Estate Co., Ltd., issued to bondholders the relevant GZRFPR 6.5 07/11/25 (2025 notes), GZRFPR 6.5 07/11/27 (2027 notes) and GZRFPR 6.5 Consent Solicitation Results 07/11/28 (2028 Notes). It is understood that R&F Real Estate’s special resolutions related to the 2027 Notes have been approved by the 2027 Noteholders with the necessary majority at a meeting duly convened on November 4 with a quorum; the special resolutions related to the 2025 Notes and 2028 Notes have been approved by the 2027 Noteholders. The qualification conditions with respect to the 2025 Notes, the 2027 Notes and the 2028 Notes have been satisfied by the requisite majority of the holders of the 25-Year Notes and the 2028 Notes at their respective duly called meetings with a quorum on October 20, 2026. Pursuant to the Consent Solicitation Memorandum, the amendment documents giving effect to the proposed amendments related to the 2025 Notes, 2027 Notes and 2028 Notes will be executed as soon as practicable after the special resolution is approved and the qualification conditions are satisfied.
