(hereinafter referred to as Lihao Qingneng) by Tongwei Co., Ltd. (hereinafter referred to as Tongwei Co., Ltd.) in accordance with the law. This case is an important merger and acquisition in China's photovoltaic field in recent times. Tongwei Co., Ltd. has a presence in industrial silicon, polycrystalline silicon, monocrystalline silicon wafers, solar cells, photovoltaic modules, etc. Lihao Qingneng mainly produces and supplies solar-grade polysilicon. Through this transaction, both parties hope to integrate polysilicon production capacity and better leverage the synergy of the industry chain. The State Administration for Market Regulation attaches great importance to the review of this case, conducted in-depth research around the photovoltaic industry chain, and fully listened to the opinions and suggestions of industry associations and many key enterprises upstream and downstream of the industry chain. The review found that although the combined shares of both parties in the concentration are relatively high in the global and Chinese solar-grade polysilicon markets, the current solar-grade polysilicon market has sufficient production capacity and many competitors. After the concentration, the entities will still face effective competition constraints, and the transaction will not have the effect of excluding or restricting competition in the relevant markets.

[Silicon Industry Branch: Polysilicon trading continues to be light this week and production cuts are gradually advancing] On September 16, China Nonferrous Metals Industry Association Silicon Industry Branch reported that the domestic polysilicon market continued to wait and see this week, and the public quotation system of various companies has not yet been restored. In the context of the industry's promotion of supply-side optimization and adjustment, some companies have begun to make arrangements to reduce production burdens based on their own actual conditions. Downstream procurement is still mainly based on rigid demand, and the overall trading volume is basically the same as last week. The reference range of polysilicon transaction prices this week remained at 40-43 yuan/kg. The actual number of orders signed is still small, and the spot circulation in the market remains low. A small number of transactions are completed through OEM and dual distribution methods. Direct spot transactions are rare, and the price game continues. According to statistics from the Silicon Industry Branch, there were seven active companies with polysilicon production capacity of more than 100,000 tons/year in August. The total output of these seven companies was 110,400 tons, accounting for 92.9% of the total domestic production, and the operating rate was 52.7%. The total output of enterprises with an annual production capacity of 50,000 to 90,000 tons is 4,600 tons, accounting for 3.9% of the total domestic output, and the operating rate is 25.1%. As various companies' production adjustment plans are gradually implemented, the supply-side contraction is expected to increase, but the recovery of terminal demand during the peak season still needs to be observed. In the later period, we need to pay attention to changes in the actual start-up of enterprises, the verification effect of spot transactions on prices, and the driving effect of the "Golden Nine and Silver Ten" terminal installation rhythm on the market.
