Abstract:
Automattic, the parent company behind WordPress, recently issued a statement confirming that its co-founder Matt Mullenweg has fully resumed his duties as CEO. Previously, some members of the company's board of directors had tried to join forces to launch a removal action against their leadership, but this fierce governance game ended with Mullenweig regaining power and completing the complete consolidation of the company's control.
This power turmoil sweeping Silicon Valley and the open source community began a few days ago. According to multiple people familiar with the matter, representatives of external investment institutions on Automattic's board of directors and some independent directors have serious differences over the company's recent strategic direction. The core of the dispute focused on Mullenweg's previous fierce trademark lawsuits and public attacks on third-party ecosystem vendors such as WP Engine. Some directors believed that this series of controversial actions had seriously disrupted the business trust of the WordPress ecosystem and brought immeasurable reputational damage and legal burden to Automattic. Therefore, they secretly collaborated internally and tried to imitate the previous "board raid" model in the technology industry to force him to resign or retreat behind the scenes.
However, this plan to force Mullenweg out of office quickly encountered a strong counterattack. Relying on the absolutely dominant multiple voting rights structure established in the early stages of the company's founding and its firm lock on corporate strategic control, Mullenweg built an unshakable defensive barrier at the legal and equity governance levels. At the same time, a large number of supporters of the key core technical forces and open source communities within Automattic also expressed their high loyalty to the founder, which eventually led to the collapse of the different camps within the board of directors, and the removal motion was completely aborted in a short period of time.
In Automattic’s official confirmation notice to employees and the public, the company made it clear that the internal governance structure has returned to smooth operation, and Mullenweg will continue to serve as CEO and be fully responsible for daily operations, the advancement of core business projects, and the long-term planning of the open source project WordPress.org. After regaining full authority, Mullenweg stated that the company will continue to unswervingly defend the brand purity of the open source spirit and open source community. At the same time, he will not rule out promoting the reorganization of board seats and the revision of governance rules in the following months to ensure that future management and the long-term vision of the company remain highly aligned.
