Abstract:
On the evening of October 29, *ST Wingtech responded on the interactive platform to the latest progress in negotiations and contacts between the company that investors are concerned about and Nexperia of the Netherlands.
The company and the manager of Nexperia of the Netherlands have reached a confidentiality arrangement on the negotiation matters, and both parties need to strictly abide by it during the specific negotiation process.
If major decision-making matters are involved in the negotiation process or information disclosure standards for listed companies are met, the company will strictly follow relevant regulations, perform review procedures, and disclose information in a timely manner. Please refer to the company's announcement for specific content. Investors are kindly requested to understand.
Because the relevant matters involve cross-border judicial procedures, cross-border corporate governance and other complex external factors, there is uncertainty in the progress and results.
At the same time, the company will still take all possible means to safeguard the interests of the company and all shareholders. Investors are kindly requested to invest rationally and evaluate investment risks prudently.

In addition, on the interactive platform, some investors asked: "Although Mr. Zhang from Allianz China released good news about 12-inch models on August 22: 900 12-inch platform material numbers were released in the third quarter, and an additional 1,700 were added in the fourth quarter. And all have completed the ACE-Q certification for vehicle regulations and the Tier1 verification for Bosch and mainland customers, so why is the revenue in the third quarter lower than in the second quarter, instead of growing?"
*ST Wingtech responded that the company's revenue in the third quarter has declined sequentially, mainly due to the current limited supply of overseas wafers. The company is implementing supply chain switching and ramping up the introduction of domestic production lines, resulting in limited deliverable material numbers.
The current revenue structure is a staged performance under production capacity constraints. In the future, as the domestic wafer supply chain continues to improve, the material numbers of available products are gradually completed, and the production capacity is ramped up, the revenue share of each downstream application segment is expected to gradually recover.

Affected by the above-mentioned good news, *ST Wingtech surged straight up shortly after the A-share market opened on October 30, successfully sealing the daily limit to 11.40 yuan per share, with a total market value of 15.055 billion yuan.

This Nexperia control dispute began at the end of September 2025, when the Dutch Ministry of Economy issued a ministerial order, and then the local corporate court made a ruling, suspending Wingtech's relevant directors' positions and placing Nexperia's equity in third-party custody. Wingtech's control over Nexperia's Dutch entities was restricted, which affected domestic production.
Although the Netherlands subsequently suspended the administrative order, the court's custody ruling continued to be in effect, and the contradiction has not been resolved. Affected by this, Wingtech Technology's stock will officially change to *ST Wingtech from May 6.
In May 2026, *ST Wingtech filed a lawsuit in China, seeking to restore control and claim a temporary compensation of 8 billion yuan; in August, the Dongguan Intermediate People's Court ruled to freeze a total of 2.139 billion yuan of Anshi's domestic assets.
